Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using VendorDesk ("the Platform"), operated by Hara InfoTech Pvt Ltd ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms").

If you are using VendorDesk on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Platform.

2. Description of Services

VendorDesk is a cloud-based staffing operations platform that provides:

• Candidate pipeline and kanban management
• Talent pool and work history tracking
• AI-powered resume screening
• Timesheet management and billing calculation
• Client and sub-vendor management
• Requirement management and document generation

We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Accounts & Registration

To use VendorDesk, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately at support@vendordesk.io of any unauthorised access

One account represents one organisation (tenant). Multi-user access within your organisation is permitted under your subscription plan limits.

4. Subscriptions & Billing

VendorDesk is offered on a subscription basis. By subscribing:

• You authorise us to charge your payment method on a recurring basis at the selected billing interval
• Subscription fees are billed in advance for the period selected (monthly or annual)
• All prices are in Indian Rupees (INR) and are exclusive of GST. 18% GST is added at checkout and shown before payment confirmation
• We reserve the right to change pricing with 30 days' notice

5. Acceptable Use

You agree not to use VendorDesk to:

• Violate any applicable Indian or international law or regulation
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to other tenants' data or our systems
• Reverse engineer, decompile, or disassemble the Platform
• Resell, sublicense, or provide access to the Platform to third parties without authorisation
• Use the AI screening feature to process data in violation of any candidate's rights
• Conduct any activity that places disproportionate load on our infrastructure

Violation of these terms may result in immediate suspension or termination of your account without refund.

6. Data Ownership

You retain full ownership of all data you input into VendorDesk, including candidate profiles, client records, timesheets, and business documents.

By using the Platform, you grant Hara InfoTech Pvt Ltd a limited licence to process your data solely to provide the service. We do not claim ownership of your data and will not use it for any other purpose.

7. Intellectual Property

The VendorDesk platform, including its software, design, AI models, algorithms, and documentation, is the exclusive intellectual property of Hara InfoTech Pvt Ltd and is protected by Indian copyright and intellectual property laws.

Nothing in these Terms transfers any IP rights to you. You are granted a limited, non-exclusive, non-transferable licence to use the Platform during your active subscription.

8. Availability & Service Levels

We target 99.9% monthly uptime for VendorDesk. Scheduled maintenance will be communicated at least 24 hours in advance wherever possible.

We are not liable for outages caused by third-party services (hosting, payment gateways, AI providers), internet connectivity issues, or events outside our reasonable control (force majeure).

9. Limitation of Liability

To the maximum extent permitted by law, Hara InfoTech Pvt Ltd shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, goodwill, or business opportunities
• Damages arising from reliance on AI screening results

Our total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total fees paid by you in the three months preceding the claim.

10. Service Delivery

VendorDesk is a digital subscription service. Upon successful payment confirmation:

• Access is provisioned electronically and immediately — no physical delivery is involved
• Your account is activated and accessible at vendordesk.io using the email and password registered at sign-up
• A welcome email confirming your subscription is sent to your registered email address
• For annual plans, the full subscription period commences from the date of successful payment

If you do not receive access within 30 minutes of payment, contact us at support@vendordesk.io with your transaction ID.

11. Termination

Either party may terminate these Terms at any time:

• By you: Cancel your subscription at any time from account settings. Access continues until the end of the billing period.
• By us: We may suspend or terminate your account immediately for breach of these Terms, non-payment, or if required by law.

Upon termination, your access to the Platform ceases and your data will be retained for 30 days before permanent deletion.

12. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of India.
